Larger companies are subject to statutory audits, and all entities must comply with Lithuanian and EU accounting, tax, and AML requirements.
Business Structure Requirements
The most common company type is the UAB (Uždaroji Akcinė Bendrovė / Private Limited Liability Company). It requires at least one shareholder and one director, who may be foreign and do not need to reside in Lithuania. A registered office address in Lithuania is mandatory. Foreign ownership is unrestricted, and incorporation can be completed online through the Centre of Registers in just a few days.
Capital Setup
A UAB requires a minimum share capital of €2,500, which must be fully paid before registration. Contributions can be made in cash or in kind, and the amount defines the shareholders’ liability. Small partnerships and micro-companies may qualify for simplified incorporation with reduced capital and reporting requirements.
Taxes
The standard corporate income tax rate is 15%, but small companies with fewer than 10 employees and annual income below €300,000 enjoy a reduced 5% rate. Newly established small businesses may qualify for a 0% tax rate in the first year of operation. Lithuania also offers R&D tax deductions and participation exemptions on qualifying dividends. The standard VAT rate is 21%, with reduced rates for specific goods and services.
