Contributions can be made in cash or kind, and liability is limited to the amount of unpaid capital. Each shareholder must have a deposit account for their contribution before registration.
Taxes
Corporate income tax in the Czech Republic is 19%, with a reduced 5% rate for investment funds and 0% for certain pension funds. Dividends paid to EU/EEA parent companies are typically exempt from withholding tax, and the Czech Republic has an extensive double-tax treaty network. VAT registration is mandatory once turnover exceeds CZK 2 million (approx. €80,000) over a 12-month period.
Business Structure Requirements
The most common company type is the s.r.o. (Společnost s ručením omezeným / Limited Liability Company). It requires at least one shareholder and one director, who may be foreign individuals or entities. A registered office address in the Czech Republic is mandatory, but there are no local residency requirements for directors or shareholders.
Ongoing Obligations
Companies must maintain proper accounting records in accordance with Czech Accounting Standards and file annual financial statements with the Commercial Register. An annual income tax return must be submitted within three months of year-end (extended to six if audited). An audit is required if turnover, assets, or employee thresholds are met.
